Terms of service

The agreement between Tessarva and the businesses that use it

Last updated:

These terms apply when a business uses Tessarva. In them, we and us mean Tessarva, you means the business that has a Tessarva workspace, and your team means the people you invite into it. By using Tessarva you agree to these terms on behalf of your business, so please make sure you are allowed to do that.

1. What Tessarva is

Tessarva is business software made of separate tools, such as People and Attendance. Each business gets its own workspace at its own address, and chooses which tools it uses. Some tools described on our website are still being built; a tool marked as coming soon is a plan, not a promise of a date.

2. Your workspace and accounts

  • We set up your workspace with you. The person we set it up for is its owner, and can invite and remove members of your team.
  • Each person signs in with their own account. Keep sign-in details private, and tell us straight away if you think an account has been misused.
  • You are responsible for who you invite, what you allow them to do, and what they do in your workspace.

3. Subscriptions

You subscribe to tools one by one. Which tools you have, for how many people, and at what price is agreed between you and us in writing, for example in a quote or an invoice. You can ask to add or remove a tool at any time; the change applies from the next billing period unless we agree otherwise.

4. Billing and payment

  • Tessarva does not take payments online. We send you an invoice, and you pay it by the method and within the period it states.
  • Prices are set out in your quote or invoice, with any taxes required by law in Nepal.
  • If an invoice is overdue, we will tell you. If it stays unpaid, we may pause access to the paid tools in your workspace until it is settled. Pausing does not delete your data.

5. Your data

The information your business puts into Tessarva, such as your team's details and their attendance records, belongs to you. You give us permission to store and process it only so we can run Tessarva for you, back it up, and support you. We do not sell it, and we do not use it to advertise to anyone.

Every workspace is kept separate from every other. Records belong to exactly one workspace, and Tessarva is built so that one business can never read or change another's. How we handle personal information is set out in our privacy policy.

6. Acceptable use

You and your team agree not to:

  • use Tessarva for anything unlawful, or to store information you have no right to hold;
  • try to reach another business's workspace or data, or get around our security;
  • copy, resell or reverse engineer Tessarva, or build a competing product from it;
  • upload malicious code, or put a load on the service meant to disrupt it.

7. Availability and support

We work to keep Tessarva running and your data safe, including keeping encrypted backups. There may be planned maintenance, which we try to schedule outside business hours, and occasional unplanned outages. Unless we have agreed a service level with you in writing, Tessarva is provided without a guaranteed uptime. For help, reach us through your Tessarva contact.

8. Ending the service

  • You can stop using Tessarva at any time by telling your Tessarva contact.
  • We may suspend or close a workspace that seriously or repeatedly breaks these terms, or whose invoices remain unpaid after notice. Where we can, we will warn you first.
  • When a workspace closes, its data is held for 30 days so that it can be restored or exported on request. After that it is permanently deleted, and copies in our backups are removed as those backups expire.

9. Changes

Tessarva will change as we build it. If we change these terms in a way that matters to you, we will tell the owner of your workspace before the change takes effect. Continuing to use Tessarva after that means you accept the new terms.

10. Responsibility

We provide Tessarva with care, but as it is: we do not promise it will suit every purpose or be free of errors. To the extent the law allows, we are not liable for indirect losses such as lost profits, and our total liability to you is limited to the fees you paid us in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

11. Governing law

These terms are governed by the laws of Nepal, and any dispute will be handled by the competent courts of Nepal. We would always rather sort a problem out by talking first.

12. Contact

Questions about these terms can go through your Tessarva contact, or by email to legal@tessarva.com (a placeholder address until our legal inbox is confirmed).
